Introduction

East Africa Exchange Ltd, (EAX) is regional commodity exchange offering commodity trade services in Rwanda and East Africa Community (EAC) common markets (173 million consumers) in key staples food crops such as Maize, Beans and Soya. EAX deals with high quality products meeting the requirement of EAC standards. Key value proposition is guaranteed quantity and quality of farmers’ grains, reliability of trade and settlement services and high level of risk mitigation. The company was created in 2013 to further strengthen EAC regional integration by developing a common and coherent financial sector in agriculture, energy and mining. EAX links deprived rural farmers to financial markets. It offers financial product development to its members and facilitates trades regionally and worldwide.

TERMS OF REFERENCE (TOR) FOR LEGAL PROFESSIONAL SERVICES;

Objective

The East Africa Exchange (EAX) seeks to engage a qualified legal professional to update its Human Resource Policy, Finance & Administration Policy, Procurement Policy, and Operations Manual. The goal is to align these documents with the EAX organogram and the relevant national regulatory and legislative frameworks of Rwanda where EAX operates.

Background

The East Africa Exchange is a premier trading platform that facilitates the buying and selling of agricultural commodities across East Africa. To ensure operational efficiency and regulatory compliance, EAX needs to update its key policy documents to reflect current legal standards and organizational structure.

Scope of Work

Review and updating the following policies:

Finance & Administration operation manual

  1. Ensuring that the current operational workflows are compliant with EAX’s organogram. Update standard operating procedures (SOPs) for core activities and aligning the Finance & Administration operation manual to comply with financial regulations and standards including updating financial reporting and internal controls systems and aligning the policy with tax laws, anti-money laundering (AML) regulations, and other relevant financial legislation in the country.
  2. Updating the Human Resource Policy to ensure its compliance, to EAX’s organogram, ensuring that roles and responsibilities are well articulated, and reporting lines are in order with the company organogram. Making comprehensive review of the Procurement policy to align with national procurement regulations and best practices while ensuring transparency, fairness, and competitiveness in procurement processes This will also require updating vendor selection, contract management processes, and setting conflict of interest guidelines.

  • Updated Human Resource Policy document.
  • Updated Finance & Administration operating Manual.
  • Updated Procurement Policy document.

Qualifications

  • A Master’s Degree in law from a recognized institution.
  • At least ten years of experience in corporate law, with a focus on HR, finance, procurement, and operations.
  • Proven experience in updating organizational policies and manuals.
  • Knowledge of the regulatory and legislative framework in East African countries.
  • Excellent analytical, drafting, and communication skills.
  • Reporting and Coordination
  • The legal professional will report to the CEO and Head Human Resource and Administration of EAX. Regular progress updates will be provided to the EAX management team.
